Terms of Service

1. Agreement to Terms

By accessing or using the services of LumenLink Institute ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

LumenLink Institute provides professional executive coaching, leadership development, team consulting, and related business services. Our services include but are not limited to:

  • One-on-one executive coaching sessions
  • Team development and facilitation
  • Strategic planning workshops
  • Leadership assessments and 360-degree feedback
  • Organizational consulting
  • Online resources and educational materials

3. Eligibility and Registration

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into this agreement
  • Provide accurate and complete information
  • Maintain the confidentiality of any account credentials

4. Service Agreements and Payments

4.1 Service Contracts

Specific coaching engagements will be governed by separate service agreements that outline:

  • Scope of services
  • Duration and scheduling
  • Fees and payment terms
  • Specific goals and objectives

4.2 Fees and Payment

  • All fees are quoted in Canadian dollars (CAD)
  • Payment is due as specified in your service agreement
  • Late payments may incur additional charges
  • Refunds are governed by our cancellation policy

4.3 Cancellation and Refund Policy

  • Individual sessions may be rescheduled with 24 hours notice
  • Cancellations with less than 24 hours notice may be charged
  • Program refunds are subject to the terms of your specific service agreement
  • No-shows will be charged the full session fee

5. Client Responsibilities

As a client, you agree to:

  • Participate actively and honestly in coaching sessions
  • Complete agreed-upon assignments and assessments
  • Provide timely feedback and communication
  • Respect scheduled appointment times
  • Maintain confidentiality regarding other participants in group settings
  • Use services for their intended business/professional purposes only

6. Professional Standards and Limitations

6.1 Coaching Relationship

Our coaching relationship is professional in nature. Coaching is not therapy, counseling, or mental health treatment. If psychological or medical issues arise, we may recommend you seek appropriate professional help.

6.2 No Guarantees

While we are committed to providing high-quality services, we cannot guarantee specific outcomes or results. Success depends on various factors including your commitment, effort, and external circumstances.

6.3 Professional Boundaries

We maintain strict professional boundaries and will not engage in:

  • Dual relationships that could impair professional judgment
  • Providing services outside our area of competence
  • Making decisions on behalf of clients

7. Confidentiality

We are committed to maintaining the confidentiality of all client information, subject to legal limitations. Information may be disclosed only:

  • With your written consent
  • As required by law
  • To prevent serious harm to yourself or others
  • For quality assurance and supervision purposes (anonymized)

8. Intellectual Property

8.1 Our Content

All materials provided by LumenLink Institute, including assessments, worksheets, methodologies, and educational content, remain our intellectual property. You may use these materials for your personal/professional development but may not redistribute or commercialize them.

8.2 Client Materials

You retain ownership of any materials, ideas, or intellectual property you bring to the coaching relationship.

9. Technology and Communications

9.1 Virtual Sessions

When conducting virtual coaching sessions, you acknowledge:

  • Technology risks including connectivity issues
  • Privacy considerations of your chosen location
  • The need for reliable internet and appropriate devices

9.2 Communication Channels

We may communicate via email, phone, video conferencing, or other agreed-upon methods. You consent to these communication methods understanding they may not be completely secure.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for services
  • We are not liable for indirect, incidental, or consequential damages
  • We do not assume responsibility for decisions you make based on coaching
  • You assume responsibility for implementing coaching insights

11. Termination

11.1 Termination by Client

You may terminate services at any time with written notice. Termination does not relieve you of payment obligations for services already provided.

11.2 Termination by Company

We may terminate services if:

  • Payment terms are not met
  • Professional boundaries are violated
  • The coaching relationship becomes ineffective
  • There are safety or ethical concerns

12. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through:

  • Good faith negotiation as the first step
  • Mediation if negotiation fails
  • Arbitration or court proceedings in Quebec, Canada as a last resort

13. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any legal proceedings will be conducted in Montreal, Quebec.

14. Compliance and Ethics

We adhere to professional coaching standards and ethical guidelines established by:

  • International Coach Federation (ICF)
  • Canadian regulatory requirements
  • Industry best practices for executive coaching

15. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, or government actions.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Changes to Terms

We may update these Terms periodically. Significant changes will be communicated to clients with reasonable notice. Continued use of services constitutes acceptance of updated Terms.

18. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and LumenLink Institute.
